Wells Fargo Securities LLC, R.I. Super. Ct., docket number not available, complaint filed 11/1/12). The allegations in the complaint arise from the RIEDC's issuance of $75 million in bonds to Schilling's 38 Studios LLC, a video game development company, which filed for Chapter 7 protection June 7 in the U.S. Bankruptcy Court for the District of Delaware along with three affiliates (24 BBLR 822, 6/21/12). 38 Studios is not named as a defendant in the complaint. Issuance of Bonds The RIEDC is a “quasi-public corporation created … to promote certain economic policies of the State of Rhode Island,” according to court documents. The complaint alleges that defendants Wells Fargo and Barclays acted as “placement agents” in connection with the issuance of the bonds to 38 Studios. In 2012, the RIEDC issued the bonds to “finance a loan to enable 38 Studios LLC to relocate to Rhode Island, complete production of a massive multiplayer online video game called Copernicus, and to capitalize the company's growth and expansion in Rhode Island,” according to court documents. However, 38 Studios subsequently filed for bankruptcy in June 2012. Undisclosed Risks The RIEDC alleges that 38 Studios's failure was due to “risks that had not been disclosed to the [RIEDC] board, but were or should have been known by” 38 Studios and the defendants. The complaint alleges that the defendants knew that “even with the loan from the [RIEDC], 38 Studios was undercapitalized by many millions of dollars and would not have nearly enough money to relocate to Rhode Island and complete Copernicus, and that, as a result of this cash shortfall, 38 Studios was likely to run out of money in 2012.” The complaint also alleges that “Wells Fargo was earning nearly $500,000 in hidden commissions from 38 Studios at the same time that Wells Fargo owed fiduciary duties to the [RIEDC] Board to disclose all negative material information concerning 38 Studios' business plan and financial projections, including the shortfall.” The complaint alleges 17 counts against the defendants, including, among others, breach of fiduciary duty, fraud, negligence, legal malpractice, and breach of implied covenant of goof faith and fair dealing.

The funds to be raised is $800 million over ten years. That is $80 per person per year. So the bills cause the state to spend $80 per person per year (from the $7809 per person per year) on infrastructure. Or try this analogy: It is like moving money you spend on cable, cell phones, pizza, restaurants and movies to fix the roof.

One that comes to mind is pulling the money for Airport terminal expansion et al. Hence part of the total picture is a better understanding for all of the management and companion implementation of life cycle maintenance on ALL the bridges and roads in RI. Yes, the tactics and strategies employed for life cycle maintenance of roads and bridges was and is still lacking. What the present discussion / focus has been on is enlarging the so called revenue stream (Smith Hill Speak for ripping off more funds and commingling into the general fund) where it supports the largeness of a totalitarian socialism ever expanding octopus. That is part of this discussion must be what happens to ALL the sources of funds that were collected by government for roads & bridges and what happens to that money along the way (classic RI shrinkage and sharing a taste) . That is unless proven otherwise the majority of funds is co mingled and rebadged with a companion rob Peter to pay Paul mentality. SO again management of the finical revenue stream and management of the actual life cycle maintenance was and is lackikng and I do not see evidence of a unified & integrated plan that identifies and protects tax payer and rate payer monies). We are now climbing the first hill and just over the top I fear is yet another hill looking more like a mountain. Finally lacking a better discipline and transparency I do not see RI getting its hands around this issue. Please keep in mind that the printing press at the fiat debt based FRS and even its computer based digital credit / money will shortly have run its course. Again it will take much more that higher taxes and user fees to resolve this very big problem. Historically here in RI additional funds has generally been squandered by redirection of sizable funds with remaining funds suffering poor management & equally questionable implementation.

He told the GA what was needed and the GA responded. He himself said that with the $800 million or so, the state would go from worst to first in infrastructure. In 10 years, after all the bridges and state roads were up to snuff, then he would cycle into a proactive maintenance plan which you know is less expensive that what we have been doing. Sure a lot can happen in the next ten years, but we have a very decent solution to a very large problem.

Even though my spouse had their own transponder, my account kept paying for the trips on their car. Also on my statements it did not always show the plate # & it randomly used my transponder # to pay for trips over the bridge. Who's to say that the Bridge Authority didn't use my transponder on someone else's car? Also everyone should thank God because I was praying furiously to have this thing taken away. I just hope they don't do it on a weekend (Sunday) like they did when they put that thing up. People should know that time & half was paid to those who worked on it. Our tax $$ used inappropriately once again. There was no need for them to put it up on a Sunday!
